1. What these terms cover
In plain wordsThese are the rules for using our website and for working with us. Your signed proposal or agreement comes first if it says something different.
These Terms & Conditions ("Terms") are an agreement between you and AXOW LLC ("AXOW", "we", "us"), a Georgia limited liability company. They apply when you use axowmarketing.com and when you hire us for any service.
Each project or monthly service is also described in a written proposal, quote or service agreement (the "Agreement"). If the Agreement and these Terms say different things, the Agreement controls for that project. Our Privacy Policy, Cookie Policy and Refund Policy are part of these Terms.
By using the website, paying an invoice or signing an Agreement, you accept these Terms. If you are accepting for a business, you confirm you are allowed to do so on its behalf.
2. Using our website
In plain wordsUse the site normally and legally. Our content belongs to us. Information on the site is general, not a promise.
- Do not use the site for anything illegal, to send spam, to try to break its security, or to copy it in bulk with automated tools.
- Texts, designs, logos and images on this site belong to AXOW or to their owners and are used with permission. You may share links, but not copy our content for commercial use without written permission.
- Some portfolio pieces are concept work (examples we created to show our style, not paid client projects). We label them as client work or concept work.
- The site is provided "as is". We try to keep it accurate and online, but we do not guarantee it will always be available or error-free. Prices and services shown are general information; only a written Agreement is binding.
- Links to other websites are for convenience. We are not responsible for their content or practices.
3. Our services
In plain wordsWe do exactly what the Agreement says. Anything extra is quoted separately before we do it.
We provide marketing services such as social media and content, websites and branding, and advertising. The scope, deliverables, timeline and price of each project are defined in its Agreement. Work outside that scope is a "change request": we will quote it in writing first and only start once you approve it. We may use trusted contractors to help deliver work; AXOW remains responsible for their work.
4. Payments
In plain wordsPay 50% to start and 50% at delivery, or 100% upfront if you prefer. Monthly services are paid at the start of each month.
- One-time projects: you can choose (a) a 50% deposit before work begins and 50% when the final deliverable is ready, or (b) 100% upfront.
- Monthly services: paid in advance on the 1st of each month (or the date in your Agreement).
- Payments are processed by Stripe by card or bank transfer, in US dollars.
- Invoices unpaid 30 days after the due date may receive a 5% late fee, and we may pause work until the balance is paid.
- Advertising budgets (for example, Meta or Google ad spend) are paid by you directly to those platforms and are separate from our fees.
- Refunds and cancellations follow our Refund Policy.
5. Revisions and approvals
In plain wordsWe agree on revisions with you for each project, with no extra charges for changes within that scope. If you do not reply in 5 business days, we take it as approved. Nothing is published until you approve it.
How revisions work is agreed with you for each project and written in your Agreement. We do not charge extra for revisions within the agreed scope. A request that changes the scope (for example, a new page, a new campaign or a different service) is a change request and is quoted separately before we do it, as explained in section 3. Please send feedback in writing (email is fine) within 5 business days of each delivery so we can keep your timeline. If we receive no feedback in that time, the deliverable is considered approved. Content is only published after you approve it.
6. Your responsibilities
In plain wordsSend us what we need on time, and only send us material you have the right to use.
- Provide materials, information and account access we ask for within 5 business days. Delays on your side move the timeline.
- You confirm you own or have permission to use everything you give us (logos, photos, music, text, customer testimonials) and that your products, prices and claims are truthful and legal.
- You are responsible for your business decisions, your promotions and offers, and compliance with laws that apply to your business (for example, alcohol advertising rules, age limits for events, and licenses).
- You will protect the passwords and accounts you share with us, and you keep ownership of your social media and ad accounts.
7. Results and third-party platforms
In plain wordsWe work hard for results, but no honest team can promise exact numbers. Instagram, Google and others make their own rules.
Marketing results depend on many things outside our control: your market, your offer, your budget, competition and platform algorithms. We do not guarantee specific results such as followers, reach, rankings, reservations or sales. Any estimate is a good-faith projection, not a promise. Platforms like Meta, Google and TikTok can change rules, reject ads or limit accounts at any time; we will follow their policies and help you resolve issues, but we are not responsible for their decisions.
8. How we use AI tools
In plain wordsWe use AI to work faster, and a person always reviews the work. We are careful with your private information.
We use artificial intelligence tools for research, drafts, images, data analysis and automation. A person at AXOW reviews all work before you receive it, and you approve it before it is published. We take reasonable steps to avoid putting your confidential information into AI tools that use it to train public models. Copyright law may give limited protection to elements created mainly by AI; we do not promise exclusive rights in such elements beyond what the law allows.
9. Who owns the work
In plain wordsOnce you pay in full, the final work made for you is yours. We keep our tools and can show the work in our portfolio unless you say no.
- After you pay in full, you own the final deliverables we created specifically for you.
- We keep ownership of our pre-existing tools, templates, code libraries, workflows and know-how. You receive a permanent license to use any of them that are built into your deliverables.
- Third-party items (stock photos, fonts, music, plugins) are licensed under their own terms, which you must follow.
- We may show the work in our portfolio and marketing. If you prefer we do not, tell us in writing and we will not, or we will remove it.
10. Confidentiality
Both of us will keep the other's non-public business information confidential and use it only for the project, during the work and after it ends, except when the law requires disclosure.
11. Cancellation
In plain wordsEither of us can end the work in writing. Refund rules are in our Refund Policy.
Either party may cancel a project or monthly service with written notice. Monthly services require 30 days' written notice. You pay for work done up to the cancellation date. We may also end the work immediately if invoices remain unpaid, if you ask us to do something illegal or misleading, or if there is abusive behavior toward our team. Refunds follow the Refund Policy.
12. Limits of our liability
In plain wordsIf something goes wrong, the most we can owe you is what you paid us for that service.
To the extent the law allows: (a) our total liability for any claim related to our website or services is limited to the amount you paid AXOW for the specific service that caused the claim; and (b) we are not liable for indirect or consequential losses such as lost profits, lost revenue, lost data or business interruption. Nothing in these Terms limits liability that cannot be limited by law.
13. Protecting each other
In plain wordsIf someone sues us because of material or instructions you gave us, you cover it, and the same applies to us for our own work.
You agree to defend and cover AXOW against claims caused by materials you provided, your products or offers, or instructions you gave us. We agree to defend and cover you against claims that original work we created for you (not including your materials or third-party items) infringes someone else's rights.
14. Disputes and governing law
In plain wordsIf there is a problem, let us talk first. If we cannot fix it in 30 days, Georgia law and Georgia courts apply.
If a disagreement comes up, please contact us first; we will both try in good faith to solve it within 30 days. These Terms are governed by the laws of the State of Georgia, USA. Any lawsuit will be brought in the state or federal courts located in Fulton County, Georgia, and both parties accept that jurisdiction.
15. General
If any part of these Terms is found invalid, the rest stays in effect. Not enforcing a rule once does not mean we give it up. Neither party is responsible for delays caused by events outside its reasonable control (such as outages, natural disasters or platform failures). You may not transfer your Agreement without our written consent. We may update these Terms by changing the date at the top; changes do not affect projects already signed unless both parties agree in writing.
